The AfriWomen Network is a mission-driven nonprofit operating with a working board during a growth and transition phase. Our board members, officers, and trusted advisors contribute significant governance leadership, institutional knowledge, and subject-matter expertise, often beyond what is typical of a purely governing board.

We are seeking guidance to help us thoughtfully structure and update our bylaws and fiscal policies to reflect this reality while maintaining strong compliance, transparency, and ethical stewardship. Specifically, we would value advice on:
1. Best-practice options for structuring bylaws and fiscal policies for a working board model
2. How to appropriately recognize contributions through modest honoraria for board members (including officers), guest experts, and advisors, without creating employment or contractor relationships
3. How to ensure any recognition practices align with IRS guidance, conflict-of-interest standards, and nonprofit governance best practices

Our goal is to adopt clear, well-documented policies that honor people’s time and expertise, reflect our values of care and reciprocity, and position the organization for long-term sustainability as our funding and staffing capacity evolve.
